REAL ESTATE & CONSTRUCTION LAW

The time to have a real estate transaction reviewed by legal counsel (or any contract for that matter), is before you "jump in with both feet."  We are frequently contacted by potential clients asking us to review real estate transactions into which they have already entered; occasionally, this delay in seeking legal advice has serious consequences.  Allowing Sprouse Law, LLC to assist with contract drafting and negotiations from the very beginning of the selling or buying process increases the likelihood of a “glitch-free” real estate experience.  Mr. Sprouse  has decades of experience in real estate law and will be able to assist you or your company with matters as varied as transactional disputes, project finance, title review, easement issues, purchase options, commercial leases, real estate broker disputes and property management contracts.  Also, the firm takes pride in its representation of a select group of homeowners associations in the "high-country" in matters of every stripe and color, including matters related to governing documents, the Colorado Common Interest Ownership Act ("CCIOA"), Board of Director powers and responsible governance policies.  Additionally, Sprouse Law, LLC has the experience to effectively represent your best interest in construction-related transactions or disputes. For over thirty-five years, Mr. Sprouse has been representing and assisting clients in construction law matters from the very beginning stages of projects (contract drafting, negotiations and governmental approvals), to post-completion matters, including construction defect claims (CDARA), insurance-coverage matters and payment issues.

BUSINESS LAW

Creating and successfully operating a business in Colorado presents multiple and varied challenges.  Ensuring that the ever-changing, applicable law is understood and complied with is critical to meeting your business goals.  If you have decided to form a limited liability company, corporation or other limited liability entity, strict formalities must be followed, including compliance with the newly enacted Federal Corporate Transparency Act.  Failure to follow those legal formalities could result in a business entity losing, or never even establishing, a shield of limited liability for its underlying principals.  The time to contact knowledgeable legal counsel is before you set up a business entity.  Sprouse Law, LLC has the experience necessary to help you in setting up and maintaining your limited liability company, corporation or partnership.  Fred Sprouse also acts as legal counsel for Colorado non-profit corporations.  Naturally, the firm is also well-versed in advising and assisting clients with business asset purchase and sale agreements, as well as complex business contract negotiations and transactions.
